Contract review by contract type

For each type of agreement we list the usual risks, what to check, and an example clause with a suggested fix. Upload your own contract and the service reviews it against these points.

  • NDA

Check four things first in an NDA: how broadly confidential information is defined, what is excluded from it, how long the obligations last, and whether the duties are mutual. Most problems come from an overbroad definition, no standard exclusions and an unlimited term.

  • Services agreement

In a services agreement, look first at the scope of work and acceptance, then payment terms, ownership of the deliverables, limitation of liability and termination rights. Disputes usually come from vague scope and from liability that is unlimited for one side only.

  • SaaS agreement

In a SaaS contract, check auto-renewal and price increases, the service-level commitment, how your data is protected and returned, and the liability cap. The most expensive surprises are silent renewals, weak uptime remedies and no right to export your data on exit.

  • Independent contractor agreement

In a contractor agreement, check the classification risk (does it look like employment), who owns the work product, payment and expenses, and non-compete and termination terms. Control over hours and methods, exclusivity and long open-ended terms are signals that regulators may treat the relationship as employment.

  • Commercial lease

In a commercial lease, check the rent and how it can increase, the security deposit, the term with break and renewal rights, and who pays for repairs and service charges. The biggest exposure usually sits in uncapped indexation, personal guarantees and repair obligations at the end of the term.

  • IP licence agreement

In a licence agreement, define exactly what is licensed, whether it is exclusive, for which field, territory and term, and how royalties are calculated. Check sublicensing rights, ownership of improvements, audit rights and what happens on termination.

    What to check →
  • Supply agreement

In a supply agreement, check the specification and quantities, delivery terms and when risk passes, inspection and acceptance, price adjustment, warranties and remedies for late or defective goods. One-sided late-delivery remedies and unclear risk transfer cause most disputes.
